Conditions of sale


1. Validity of the conditions of sale


1) The Terms and Conditions of Sale are valid for the purchase of goods and services from https://portfellow.com/ and https://app.portfellow.com/ between a consumer buyer (hereinafter referred to as the Consumer), a legal entity buyer (hereinafter referred to as the Business Customer) and the company Portfellow Technology OÜ (registration code 12612694) (hereinafter referred to as the Online Shop).

2) In addition to these terms and conditions, the legal relations arising from the purchase of products from the Online Shop shall be governed by the Law of Obligations Act (hereinafter LOA), the Consumer Protection Act (hereinafter CPA) and other legislation in force in the Republic of Estonia.

3) The online shop reserves the right to make changes to the terms and conditions of sale. The aforementioned changes shall be reflected on the website https://portfellow.com/muugitingimused/.

4) These terms and conditions of sale shall apply from 15 April 2024.

5) Payments will be mediated by Stripe, Inc.


2. Price information


1) The online shop is subject to 0% VAT.

2) For purchases of goods that do not have free transport set out on a separate product page, the price of transport will be added to the price according to the mode of delivery chosen by the Consumer or Business Customer.

3) The prices are valid from the moment the order is placed until the expiry of the payment term of the placed order (3 days after placing the order).

4) If the order is placed before the conditions of sale or prices have been modified, the legal relations between the Consumer or Business Customer and the Online Shop shall be governed by the conditions in force at the time the order was placed.

5) The Online Shop reserves the right to make changes to the sale prices. These changes will be reflected on the websitehttps://portfellow.com/, https://app.portfellow.com/ and their sub-sites.


3. Placing an order


1) Add the desired products to the shopping cart.

2) On the shopping cart page, fill in the required fields. Then select the payment method that suits you. If you choose to pay via your bank, you will be shown the details of Portfellow Technology OÜ where you can make the payment. Portfellow Technology OÜ will check incoming payments within up to five working days and will confirm the order if the payment has been received. The invoice can be downloaded after payment from the payment page or from the payment confirmation received by e-mail. If you choose to pay by bank transfer, you can pay for your order immediately and you will receive an invoice by e-mail as soon as the payment is completed. To place an order, click on the “Place an order” link. After payment, please click on the “Back to merchant” button.

3) Please fill in the fields on the shopping cart page carefully, as the accuracy and correctness of the information provided will determine the speedy and smooth delivery of the products and services you have purchased and, if necessary, the subsequent settlement of any disputes and claims.

4) Orders placed on the Online Shop are processed on working days. Physical products will be delivered to the parcel machine of your choice within a few working days after receipt of payment. Electronic products and services will be delivered to you as soon as the receipt of payment is registered in our system (by immediate payment via bank transfer, by separate euro payment within 5 working days of the receipt of payment being registered).

5) Portfellow Technology OÜ is the controller of the personal data. Portfellow Technology OÜ transfers the personal data necessary for the execution of payments to the processor Stripe, Inc.


4. Entry into force of the sales contract


1) With the contract for the sale of the Goods, the Online Shop undertakes to transfer to the Consumer or Business Customer the Goods that exist, are being manufactured or will be acquired by the Online Shop in the future, and to enable the transfer of ownership to the Consumer or Business Customer. The Consumer or Business Customer undertakes to pay the Online Shop the amount indicated on the invoice for the Goods and to accept the Goods.

2) Orders for which payment has not been made shall be cancelled 5 working days after the order has been placed.

3) The sales contract shall enter into force upon receipt of the payment made by the Consumer or the Business Customer into the bank account of the Webshop.


5. Delivery to


1) After the sales contract has entered into force, the Online Shop will complete the order and hand it over to the company’s logistics partners for delivery.

2) The delivery deadlines indicated on the website of the e-shop are valid from the moment of receipt of the order amount in the bank account of the e-shop.

4) The Online shop is not liable for any delay in the delivery of the goods if the goods have been handed over to the logistics partners on time, but the delay in delivery is due to circumstances which the Online shop could not influence or foresee.


6. Right of return to the consumer


1) After receipt of the order, the Consumer has the right to withdraw from the contract concluded in the e-shop without giving any reason within 14 days.

2) In the event of deterioration of the condition of the item to be returned, the Consumer shall only be liable for the depreciation of the item due to the use of the item if the Consumer has used the item in a manner other than that necessary to ascertain the nature, characteristics and functioning of the item. In order to ascertain the nature, characteristics and functioning of the goods, the consumer should handle and use them only as he would normally be allowed to do in a shop.

3) In order to return the goods, a free-form withdrawal form must be submitted to [email protected] within 14 days of receipt of the goods at the latest. Portfellow Technology OÜ will immediately send to the Consumer an acknowledgement of receipt of the withdrawal form.

4) The Consumer must either return the goods within 14 days of the date of the request or provide proof by e-mail to [email protected] that he/she has handed over the goods to the logistics company within the aforementioned period.

5) Upon receipt of the cancellation, the online shop shall immediately, but not later than 14 days after the receipt of the cancellation, reimburse the consumer for all fees received from the consumer under the contract, including the costs of delivery of the item used by the consumer.


7. Right of return to the Business Customer


1) The right of return does not apply to the Business Customer and all purchases are final.


8. Force Majeure


1) The Online shop shall not be liable for any damage caused to the Customer or for any delay in the delivery of the goods if the damage or delay in the delivery of the goods is due to circumstances that the Online shop could not influence or foresee.


9. Privacy policy and processing of personal data


1) By entering data in the online shop and with the corresponding confirmation, the Consumer or Business Customer grants the Online Shop the right to collect and process the Consumer’s or Business Customer’s personal data (name, contact telephone, e-mail address, choice of parcel terminal) and to forward personal data to a logistics partner for the delivery of goods.

2) The Consumer has the right at any time to prohibit the collection and use of his/her personal data, unless this is necessary for the collection of a contractual claim or the delivery of the goods.

3) The use of electronic personal data for the purpose of direct mail shall only take place if the Consumer has given his/her express consent to this on the Website.

4) The Webshop has the right to use the e-mail address of the Business Customer for the purpose of sending advertising and other information to the Business Customer.

5) Encrypted data communication with banks is used for payment of purchases via bank transfer, which ensures the security of the Consumer’s personal bank details, which are not accessible by the Online Shop.

6) By placing an order, the Consumer or Business Customer confirms that he/she agrees to the Online Shop’s privacy policy and has read it.


10. Complaints procedure for the Consumer


1) The online shop shall be liable for the non-conformity or defects of the goods sold to the Consumer, which occur within a period of up to two years from the delivery of the goods to the Consumer.

2) In the event of a defect, the Consumer shall have the right to contact the Webshop within two months at the latest, submitting the invoice on the basis of which the purchase of the goods was paid.

3) In the event of a defect in the goods, we ask you to discontinue the use of the goods.

4) The repair or replacement of the defective goods shall be agreed between the Online Shop and the Consumer. The costs of the repair shall be borne by the Online Shop.

5) The Webshop shall not be liable for any defects in the goods caused by the Consumer as a result of improper storage or improper use of the goods.

6) In the event of non-conformity or defects of the product, please send a complaint to the e-mail address [email protected], stating the name of the person placing the order, contact telephone number, order number and a precise description of the non-conformity or defect of the product.

7) Complaints concerning non-compliance or defects must be submitted within two months of the discovery of the non-compliance or defect.

8) All complaints will be examined and the Consumer will be contacted as soon as possible, but not later than 14 days after receipt of the complaint. The online shop will immediately send the Consumer an acknowledgement of receipt of the complaint.

9) The Consumer has the right to demand that the Online Shop reduce the purchase price or terminate the contract and claim a refund for the goods if the Online Shop is unable to repair or replace the goods, the repair or replacement of the goods fails, the Online Shop has not remedied the defect of the goods within a reasonable period of time, the Consumer has been caused unreasonable inconvenience.


11. Complaints procedure for the Business Customer


1) The Online Shop is liable for the non-conformity of the goods sold to the Business Customer with the terms of the contract or for defects that become apparent within 14 days from the delivery of the goods to the Business Customer.

2) In the event of non-conformity or defects of the product, please send a complaint to the e-mail address [email protected], stating the name of the person placing the order, contact telephone number, order number and a precise description of the non-conformity or defect of the product.


12. Consumer’s right to apply to the Consumer Complaints Committee


1) If the Webshop has refused to resolve the Consumer’s complaint or the Consumer does not agree with the solution offered by the Investment Club’s Webshop and considers that his/her rights have been violated, the Consumer may lodge a complaint with the Consumer Complaints Commission via the Consumer Protection Board or with the courts. The Consumer may lodge a complaint himself or through a representative. The details of the Consumer Complaints Commission can be found on the website of the Consumer Protection Office at http://www.tarbijakaitseamet.ee/et/tarbijale.
